Overview
These Affiliate Terms and Conditions ("Agreement") govern your participation in the LLC Station Affiliate Program ("Program") operated by MidouOudina LLC, doing business as LLC Station ("Company", "we", "us", or "our").
By applying to or participating in the Program, you ("Affiliate", "you", or "your") agree to be bound by this Agreement. If you do not agree, you may not participate in the Program.
Eligibility & Enrollment
To join the LLC Station Affiliate Program, you must:
- Be at least 18 years of age
- Submit a complete affiliate application at orders.llcstation.com/affiliate
- Provide accurate and truthful information in your application
- Wait for approval from our partnerships team
We reserve the right to accept or reject any application at our sole discretion, without explanation. Approval is not guaranteed.
Commission Structure
Approved affiliates earn commissions on qualifying sales made through their unique referral link. Commission rates are as follows:
- LLC Starter Package: $30 per sale
- Business Builder Package: $60 per sale
- Diamond Business Package: $100 per sale
- EIN-Only Service: $20 per sale
- Registered Agent Renewal: $50 per sale
Commission rates are subject to change at any time. We will notify active affiliates of any rate changes via email with at least 14 days' notice. Changes apply to sales made after the effective date of the change.
Referral Tracking & Attribution
Referrals are tracked using cookies placed on the referred visitor's browser when they click your unique affiliate link. The following rules apply:
- Cookie duration is 30 days from the date of click
- The last affiliate link clicked receives credit for the sale ("last-click attribution")
- Self-referrals (using your own link to purchase services for yourself) are not eligible for commission
- If a customer completes a purchase after the cookie expires, no commission is earned
Qualifying Sales
A sale qualifies for commission only when all of the following conditions are met:
- The customer clicked your unique affiliate link before making the purchase
- The purchase was made within the 30-day cookie window
- The customer's payment has been successfully processed and received
- The order was not cancelled, refunded, or charged back
- The sale was not generated through prohibited methods (see Section 8)
If a customer requests and receives a refund for their order, any commission earned from that sale will be deducted from your affiliate balance.
Payments & Withdrawals
- Minimum withdrawal amount: $50 USD
- Payment methods: Bank transfer, PayPal, or Wise
- Processing time: Withdrawal requests are processed within 7-14 business days
- Commissions become eligible for withdrawal 30 days after the qualifying sale date (to account for potential refunds or chargebacks)
- You are responsible for any taxes owed on affiliate income in your jurisdiction
Affiliate Obligations
As an affiliate, you agree to:
- Promote LLC Station honestly and accurately, without making misleading claims about our services, pricing, guarantees, or timelines
- Clearly disclose your affiliate relationship when promoting LLC Station, in compliance with applicable advertising regulations (e.g., FTC guidelines)
- Not represent yourself as an employee, agent, or legal representative of LLC Station
- Not provide legal, tax, or financial advice on behalf of LLC Station
- Maintain the accuracy of your contact and payment information in your affiliate dashboard
Prohibited Activities
The following activities are strictly prohibited and may result in immediate termination of your affiliate account and forfeiture of unpaid commissions:
- Self-referrals: Purchasing LLC Station services using your own affiliate link
- Cookie stuffing: Using hidden iframes, pop-ups, or redirects to force cookie placement without genuine user intent
- Paid search trademark bidding: Bidding on "LLC Station", "LLCStation", or any variations in paid search ads (Google Ads, Bing Ads, etc.)
- Spam: Sending unsolicited emails, messages, or communications promoting your affiliate link
- Misleading claims: Making false, exaggerated, or misleading statements about LLC Station's services
- Brand impersonation: Creating websites, social media accounts, or content that could be mistaken as an official LLC Station property
- Incentivized traffic: Offering cash, points, or rewards to users for clicking your affiliate link or making a purchase
- Fraudulent referrals: Generating fake orders, using stolen payment information, or any form of fraud
Intellectual Property
LLC Station grants you a limited, non-exclusive, revocable license to use our name, logo, and approved marketing materials solely for the purpose of promoting LLC Station as part of the Affiliate Program. You may not:
- Modify, alter, or create derivative works of our branding or logos
- Use our trademarks in domain names, social media handles, or business names
- Imply endorsement, partnership, or any official relationship beyond the affiliate arrangement
Termination
Either party may terminate this Agreement at any time, for any reason, with or without notice.
- By you: You may stop participating at any time by ceasing to promote LLC Station. You may request closure of your affiliate account by emailing partnerships@llcstation.com
- By us: We may suspend or terminate your affiliate account immediately if we believe you have violated this Agreement, engaged in prohibited activities, or acted in a way that harms LLC Station's reputation or business
Upon termination, any unpaid commissions that have met the qualifying conditions (Section 5) and are above the minimum withdrawal amount will be paid to you within 30 days, unless the commissions were earned through prohibited methods or fraud, in which case they are forfeited.
Limitation of Liability
LLC Station shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your participation in the Affiliate Program. Our total liability to you for any claim related to the Program shall not exceed the total commissions paid to you in the 12 months preceding the claim.
Modifications
We reserve the right to modify these terms at any time. Material changes will be communicated to active affiliates via email at least 14 days before they take effect. Continued participation in the Program after the effective date constitutes acceptance of the modified terms. If you disagree with any changes, you may terminate your participation as described in Section 10.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of New Mexico, United States of America, without regard to its conflict of laws provisions. Any disputes arising under or in connection with this Agreement shall be resolved in the courts of the State of New Mexico.
