Every US state requires your company to have one, you cannot skip it, and if you are a non-resident you cannot be your own. Yet the registered agent is probably the least understood line item in the whole formation process — and the one most often confused with the address your bank wants.

What a registered agent actually is
A registered agent is a person or company with a physical street address inside your state of formation, officially designated to receive legal and government mail on your company’s behalf.
Specifically they accept:
- Service of process — lawsuit papers, subpoenas, court notices
- State correspondence — annual report reminders, compliance notices
- Tax notices from state authorities
They then forward it to you, usually by scan and email. That is the whole job. They are not accountants, lawyers or bankers, and they do not manage your company.
Why it is legally required
The requirement exists so there is always a reliable, physical place in the state where your company can be reached during business hours — most importantly, so someone can be served if your company is sued. A business that cannot be contacted cannot be held accountable, which is why every state insists on this and why no state will let you skip it.
Lose your registered agent and your company falls out of good standing. Leave it long enough and the state can dissolve the company administratively, which typically takes your bank account and payment processing down with it.
Why you cannot be your own
A registered agent must have a physical street address in the state of formation — not a PO Box — and must be available there during normal business hours.
As a non-resident living abroad, you fail both tests. This is not a policy your formation company invented to sell you something; it is a statutory requirement in every state. It is also the one recurring cost you genuinely cannot design away.
The distinction that gets bank applications rejected
This is the most valuable thing in this article, because it costs people real money.

These are two different things and you generally need both. Through 2025 and 2026, US banks stopped accepting registered-agent addresses as a business address — it is now one of the most common causes of rejection for non-residents. What it costs
Standalone registered agent services generally run $100–300 per year. Most formation packages, including ours, bundle the first year and then bill annually after that.
A word of warning on pricing: watch the renewal, not the headline. “Free formation” offers frequently recover their margin through a registered agent renewal at the top of that range from year two onward. What matters when choosing one
- They scan and email quickly. Service of process has deadlines. Physical forwarding to another continent is useless.
- Transparent renewal pricing. No jump from $39 to $299 in year two.
- They actually answer. A missed legal notice is a default judgment.
- Coverage in your state. Obvious, but agents are state-specific.
- They do not resign without warning. Some cheap providers drop clients over trivial payment issues.
Changing your registered agent
Straightforward, and you can do it whenever you like. File a change-of-agent form with the state, pay a small fee, and make sure the new agent is appointed before the old one stops. Do not cancel the old one first — a gap in coverage is exactly what puts a company out of good standing.

Can I be my own registered agent as a non-resident?
No. You need a physical street address in the state of formation and availability during business hours. Living abroad rules both out.
Can I use the registered agent address as my business address?
For the state record, that is what it is for. For your bank, Stripe, invoices and website — no. Banks now reject it, and you need a separate business address.
What happens if I do not pay the renewal?
The agent resigns, the state is notified, your company loses good standing, and eventually the state can dissolve it administratively. That usually costs you your bank account and payment processing.
Is a registered agent the same as a virtual office?
No. A registered agent satisfies a legal requirement of the state. A virtual office gives you a commercial business address and mail handling. Different jobs, and most non-residents need both.
Do I need one in every state?
One in your state of formation. If you register to do business in additional states, you need one in each — rare for online businesses.
Does my registered agent see my mail?
They receive legal and state documents addressed to the company and forward them. Ordinary business mail goes to your business address, not to them.
