Affiliate Program Terms

1. Who we are
These terms govern the LLC Station affiliate and partner program ("Program"), operated by MidouOudina LLC, doing business as LLC Station ("we"). By applying or taking part you ("you") agree to them. We record the date and version of the terms you accept.
2. Joining
You must be at least 18 and give accurate information. We approve or decline applications at our discretion. We may suspend an account that breaks these terms.
3. Independent contractor
You take part as an independent contractor. These terms do not create an employment, partnership, agency, franchise or joint-venture relationship. You have no authority to make promises, accept orders, sign or speak on our behalf.
4. What you earn
You earn a commission only on LLC formation packages (Starter, Builder, Diamond) paid by a customer you referred. There is no commission on other services (EIN, ITIN, registered agent, phone numbers, tax filings, apostille and others), add-ons, renewals or government fees. Rates by level: Bronze $35 / $60 / $90, Silver $45 / $70 / $105, Gold $55 / $85 / $120 (Starter / Builder / Diamond). Your level depends on your confirmed sales (sales that finished their hold) in the last 90 days (5+ Silver, 15+ Gold) and is updated daily; the rate is fixed when the sale is made. We may agree custom rates with you in writing. To keep the program sustainable, a single commission never exceeds 40% of our net margin on that package (this only matters for promotional or regional prices).
5. Your customer discount
You may give part of your commission to your audience as a discount, from $0 up to your Starter rate, in $5 steps. The discount is taken from your commission. Only one discount applies per order; if a customer uses one of our store coupons instead, you keep the sale at your full rate.
6. Tracking
Referrals are tracked by a 30-day cookie set by your link, or by your code typed at checkout. The last partner link clicked before payment wins; a code typed at checkout always wins. One commission per order. Purchases for yourself or your own company, by you or your household, are not eligible. Our records are final.
7. Hold, refunds and chargebacks
Each commission is held for 30 days after payment (60 days for card payments until you have received your first payout), then approved automatically if the order is still paid. If an order is fully refunded or the payment is disputed, the commission is cancelled, also after it was paid out; in that case it is deducted from your balance and future earnings. If we win the dispute, the commission is restored. Partial refunds are reviewed case by case.
8. Payouts
Payouts are made by PayPal or USDT (TRC20) once your available balance is at least $50. Request them in your dashboard; we send them within 5 business days. Before your first payout you must upload a signed US tax form in your dashboard: W-8BEN if you are not a US person, W-9 if you are (US persons may receive a Form 1099 where the law requires it). For your security, payouts cannot be requested for 48 hours after your payout details change. Check your payout details carefully: payments sent to the address you provided are final. Fees charged by your provider and taxes in your country are your responsibility.
9. Fraud review
We may hold commissions, decline or delay payouts and suspend your account while we review possible fraud, self-referral, fake or prohibited traffic, or a breach of these terms. Commissions that came from such activity are cancelled, also after payout.
10. Sanctions
You confirm that you are not located in, resident in or acting for anyone in a country or region under US sanctions that we do not serve (currently Iran, North Korea, Cuba and Russia, plus any region added by US law), and that you are not on a US sanctions list such as the OFAC SDN list. We may check your details and payout address (including USDT wallets) and must withhold payment where the law requires it.
11. Refer a friend (clients)
LLC Station clients can share a personal code: the friend gets $10 off their package, and the client receives $10 / $15 / $20 account credit (Starter / Builder / Diamond) after the 30-day hold. Credit has no cash value, cannot be transferred and is applied to your renewals, or can be redeemed by us on request. It is removed if the friend's order is refunded. A client code is paused if the client's own order is refunded.
12. Not allowed
Posting your code or link on coupon, voucher or deal websites; bidding on "LLC Station" or similar in paid search; spam; misleading claims about our services, prices or timelines; pretending to be LLC Station; paying or rewarding people to click or buy; cookie stuffing or forced clicks; fake or fraudulent orders; self-referral. Breaking these rules cancels the related commissions and may close your account.
13. Disclosure
You must clearly say that you earn a commission when you promote LLC Station (for example "affiliate link" or "ad"), as required by the FTC guidelines in the US and by the advertising rules of the countries where your audience is. In Turkey, follow the Ministry of Trade rules on influencer advertising: mark the content as advertising (for example "Reklam" or #reklam) at the start of the post or video. In the EU and the UK, follow the local consumer-protection and advertising codes.
14. Our brand
You may use our name, logo and the materials in your dashboard only to promote the Program, without changing them and without using "LLC Station" in domain names, social handles or business names.
15. Indemnity
You will defend and compensate us for claims, fines, losses and costs (including reasonable legal fees) caused by your content, your ads, statements you make about us, your breach of these terms or your breach of the law.
16. Changes and ending
We may change these terms or the rates with at least 14 days' notice by email; changes apply to sales after the effective date. Either side may end participation at any time. After the end, approved commissions are paid within 30 days if your balance reaches the $50 minimum, unless they came from prohibited activity. A balance below the minimum at the end is not paid out.
17. Liability and law
We are not liable for indirect or consequential losses. Our total liability is limited to the commissions owed to you in the last 12 months. These terms are governed by the laws of the State of New Mexico, USA.
