Wyoming LLC Annual Report: Due Date, $60 Fee and How to File (2026)

7 min read LLC Station Team

Every Wyoming LLC must file a Wyoming annual report once a year. It is short, it costs $60 for most small companies, and it takes a few minutes. But if you miss it, Wyoming dissolves your company, and your bank, Stripe or Amazon account can stop working.

This guide explains when your Wyoming annual report is due, what it costs, what goes in it, how to file it, and what happens if you are late. Everything here is based on the Wyoming Secretary of State’s fee schedule and the Wyoming LLC law.

Who must file a Wyoming annual report

Every LLC formed in Wyoming files one, every year, starting the year after it was formed. It does not matter where you live, whether the company made money, or whether it did anything at all. A Wyoming LLC with no income and no bank account still files.

LLCs formed in another state but registered to do business in Wyoming also file one.

If you are still choosing a state, note that New Mexico has no annual report at all. We compare both in New Mexico vs Wyoming LLC.

When the Wyoming annual report is due

The Wyoming annual report is due on the first day of the month your LLC was formed (your anniversary month), every year.

  • Formed on March 14, 2026: first report due March 1, 2027, then every March 1.
  • Formed on November 3, 2026: first report due November 1, 2027, then every November 1.

The date is the same every year, so put it in your calendar now. You can find your formation date on your Articles of Organization or by searching your company on the Wyoming Secretary of State website.

How much the Wyoming annual report costs

There is no separate filing fee. You pay Wyoming’s annual license tax, which is:

  • $60, or
  • $0.0002 for each dollar of company assets located and used in Wyoming,

whichever is higher. The $60 minimum covers up to $300,000 of assets in Wyoming. Most small online businesses owned by non-residents have no assets in Wyoming, so they pay $60.

Your registered agent is a separate yearly cost, and you must keep one: see registered agent for non-residents. For every yearly cost of a US LLC in one place, read US LLC cost for non-residents.

What goes in the Wyoming annual report

The report confirms the basic details the state already has:

  • Your company name and Wyoming filing ID (for example 2026-001234567)
  • Your principal office address and mailing address
  • Your registered agent and its Wyoming address
  • The value of company assets located and used in Wyoming, to calculate the license tax
  • The name of the person signing it, who can be a member, a manager or an authorized agent

Wyoming does not ask you to list your members or owners in the annual report. That is one reason Wyoming is known for privacy.

How to file the Wyoming annual report

  1. Go to the Wyoming Secretary of State business site (wyobiz.wyo.gov) and choose to file an annual report.
  2. Find your company by name or filing ID.
  3. Check the details the state shows: addresses and registered agent. Update anything that changed.
  4. Enter your Wyoming assets. If you have none, the tax is the $60 minimum.
  5. Pay by card and sign.
  6. Save the confirmation. Your company stays in good standing for another year.

Prefer not to do it yourself? We file the Wyoming annual report for any Wyoming LLC, even one formed by another company, usually within 2 business days. The $60 state tax is included in our price, and we remind you before next year’s due date. For Wyoming companies we formed, the yearly renewal already includes the annual report.

What happens if you file the Wyoming annual report late

Wyoming does not charge a late fee, but the consequences are worse than a fee:

  1. Delinquent. After the due date, the state marks your company delinquent and sends a notice.
  2. Dissolved. If you still have not filed 60 days after that notice, the state administratively dissolves the company (its articles are forfeited).
  3. Reinstatement. You can bring it back within 2 years by filing every missed report, paying every missed license tax and a $100 reinstatement fee. Wyoming keeps your company name for you during those 2 years.

A dissolved company cannot get a certificate of good standing, and banks, Stripe, PayPal and Amazon check this. If a review happens while your company is dissolved, they can freeze or close your account. Losing your registered agent is a separate problem: reinstating a company dissolved for having no registered agent costs $350.

If you want to close your company on purpose, don’t just stop filing. Close it properly: see how to dissolve a US LLC.

The Wyoming annual report is not your tax return

This confuses many owners. The Wyoming annual report goes to the state and keeps your company alive. Your tax filing goes to the IRS. A single-member LLC owned by a non-resident usually files Form 5472 with a pro forma Form 1120 every year, due April 15, even with no income. The penalty for missing it starts at $25,000. Read Form 5472 for foreign-owned LLCs.

So a Wyoming LLC has two yearly filings: the Wyoming annual report and the IRS return. Missing either one causes problems.

Frequently asked questions

When is my first Wyoming annual report due?

On the first day of your anniversary month in the year after you formed the LLC. An LLC formed in June 2026 files its first report by June 1, 2027.

Do I have to file if my LLC had no income?

Yes. Every Wyoming LLC files every year, with or without income or activity. Most pay the $60 minimum.

Is there a late fee?

No late fee, but after the notice period Wyoming dissolves the company. Bringing it back costs the missed reports, the missed taxes and a $100 reinstatement fee.

Can someone else file it for me?

Yes. A member, a manager or an authorized agent can sign and file it. We file it as your authorized agent, and your name does not appear on the report.

Can I file it early?

Yes. The state accepts the report in the months before your due date, so you don’t have to wait for the deadline. Filing a few weeks early is the easiest way never to be late.

Does New Mexico have an annual report?

No. New Mexico LLCs have no annual report and no yearly state fee, which is why many non-residents choose it. Compare both in New Mexico vs Wyoming LLC.

File your Wyoming annual report on time

Your Wyoming annual report takes a few minutes and costs $60, but missing it can cost you your company and your accounts. File it yourself on the state website, or let us do it for you.
