Updated: · General information, not tax or legal advice.

Yes, you can form a US LLC from Bangladesh without leaving Dhaka or Chattogram: the filing, EIN and registered agent are handled online, and US states accept Bangladeshi owners. But Bangladesh is one of the hardest countries for the money side. Mercury does not accept residents of Bangladesh, Wise will not issue USD details to a US business with a Bangladeshi owner address, PayPal still does not operate, and Bangladesh Bank controls money leaving the country. This guide explains how to open a US company from Bangladesh in 2026 the legal way, and what really works for getting paid.

Why freelancers and founders form a US LLC from Bangladesh

Bangladesh has a large freelance workforce selling web development, graphic design, digital marketing and data work on Upwork, Fiverr and Freelancer.com. Many grow into small agencies with clients in the US and Europe who prefer to sign with, and pay, a company rather than an individual. Others are building SaaS tools, Shopify apps or Amazon US stores, and need a US entity to apply for US payment processors and marketplaces.

A US LLC helps with credibility, with contracts, and with applying to US services. It does not change where you live. Providers still check the owner’s residence, and Bangladesh’s own foreign-exchange and tax rules still apply to you.

Bangladesh Bank rules: putting money into a foreign company

Outward investment from Bangladesh has been tightly restricted under the Foreign Exchange Regulation Act 1947. In March 2025 Bangladesh Bank issued a circular that, for the first time, gave general permission to remit up to 10,000$ to establish a legal entity abroad. It covers resident startups operating for less than 10 years and individual Bangladeshi nationals, with conditions:

  • the overseas entity must support a startup business based in Bangladesh, and individuals need an innovative business idea expected to bring investment and earnings back home;
  • the money must come from your own funds, not loans;
  • the application goes through your authorised dealer bank, which runs KYC and AML checks and reports to Bangladesh Bank;
  • investors submit annual progress reports and audited overseas financial statements, bring back unused funds, and report ownership changes.

A single-member LLC rarely needs much capital, and the formation fee is a service payment, but if you plan to send money from Bangladesh to fund the company, talk to your bank about this circular first. Paying with an international card is also controlled: card spending abroad is tied to your foreign-currency entitlement and the limits Bangladesh Bank sets.

Receiving money: getting USD into Bangladesh legally

Inbound money is far easier than outbound. Export earnings from freelancing and software services can come into Bangladeshi banks through formal channels, and the government actively encourages it.

The 2.5% export cash incentive

Individual freelancers exporting software and IT-enabled services are eligible for a 2.5% cash incentive on proceeds received through banks, paid by the government through Bangladesh Bank; firm-level software and ITES exports get 6% under the latest circular (applying to January–June 2026). Rates are revised by circular, so ask your bank which rate applies when you receive. This is separate from the 2.5% incentive on wage remittances from Bangladeshis working abroad.

Payoneer and bank transfers

Payoneer is the standard tool for Bangladeshi freelancers and withdraws to local bank accounts in taka. Direct SWIFT transfers into a Bangladeshi bank are also normal; give the bank a correct purpose (software or IT service export) and keep invoices and contracts so the receipt counts as export earnings and qualifies for the incentive.

Xoom is not PayPal

PayPal’s Xoom launched in Bangladesh in 2017, but it is inbound only: people abroad can send money to you, you cannot open a full PayPal account, send payments, or receive PayPal business payments.

From your LLC to you

The practical path is: clients pay your LLC’s US account or Payoneer; the LLC pays you by international transfer or Payoneer withdrawal; the money arrives in your Bangladeshi account tagged as service export earnings. Because the payer is your own company, keep a written services agreement between you and the LLC and a record of each payment. Never use hundi: it is illegal and loses the incentive.

Which banks and payment tools work for Bangladeshi residents

Provider Status for a Bangladeshi resident owner (October 2026)
Mercury Not available. Bangladesh is on Mercury’s residence-based prohibited-countries list.
Wise Wise says a US business cannot get USD account details if the business or owner address is in Bangladesh.
Payoneer Available; the main receiving tool for Bangladeshi freelancers, with taka withdrawals to local banks.
Stripe Bangladesh is not a Stripe country. A US LLC with a US bank account can apply to Stripe US; approval is not guaranteed and the owner is verified.
PayPal Not available for Bangladeshi residents; only inbound Xoom transfers.

Taxes for a US LLC from Bangladesh: at home and in the US

This is general information, not tax advice. Bangladesh taxes residents on worldwide income. Income from IT-enabled services has been exempt under a list that is currently scheduled to expire on 30 June 2027, and in June 2026 the government proposed removing the 7.5% withholding tax on income independent freelancers and content creators earn from international digital platforms; check the final Finance Act and NBR guidance. Whether profits from your own US LLC fall within these exemptions is a question for a Bangladeshi tax practitioner.

In the US, a single-member LLC owned by a non-resident is normally disregarded and often owes no US income tax if it has no US trade or business. It must still file Form 5472 with a pro forma 1120 every year, even with zero income; the penalty starts at 25,000$. The US and Bangladesh signed an income tax treaty in 2004, which mainly matters for permanent establishment and withholding questions.

Step by step: open a US LLC from Bangladesh

  1. Choose New Mexico or Wyoming and a company name.
  2. Prepare documents: a valid Bangladeshi passport (the NID is not accepted by most US providers) and proof of address, such as a bank statement or a DESCO, DPDC or Titas Gas bill. Documents in Bangla need a certified English translation.
  3. File the LLC. State approval usually takes 5–7 business days.
  4. Get the EIN without an SSN; see EIN without SSN. Timing depends on the IRS.
  5. Set up receiving: a US banking option that accepts Bangladeshi residents, plus Payoneer.
  6. Check the Bangladesh side with your bank: the March 2025 circular if you send capital, and export-earnings documentation for incoming money.
  7. Every year: Form 5472 + 1120, and renewal from year 2 (129$/yr in New Mexico, 229$/yr in Wyoming).

Mistakes, scams and what not to do

  • Using a cousin’s address in the UK or US to open Mercury or Wise. That is misrepresentation, and the account will be closed with funds frozen.
  • Buying “verified PayPal” accounts advertised in Facebook groups. They belong to someone else and get limited.
  • Using hundi to bring money home or send money out.
  • Believing an LLC makes you tax-free. Bangladesh taxes residents on worldwide income, subject to its own exemptions.
  • Ignoring Form 5472 in a year with no income.

New Mexico or Wyoming for Bangladeshi founders

For most freelancers and small agencies, New Mexico keeps costs lowest: no annual report and no yearly state fee, with renewal at 129$/yr from year 2. Wyoming costs 229$/yr from year 2, including the 60$ annual report fee, and suits those who want its asset-protection reputation. Details in New Mexico vs Wyoming. Frequently asked questions

Can a Bangladeshi citizen living in Bangladesh own a US LLC?

Yes. US states allow foreign owners. On the Bangladesh side, sending money abroad to fund a company is governed by Bangladesh Bank, whose March 2025 circular allows up to 10,000$ under conditions.

Can I open Mercury or Wise for my LLC from Bangladesh?

Not Mercury, which lists Bangladesh as prohibited. Wise will not give USD account details to a US business with a Bangladeshi owner address. Plan an alternative before you form.

Is PayPal available in Bangladesh in 2026?

No. Only Xoom, which is inbound remittance. A US LLC can apply for PayPal Business with a US bank account, but PayPal verifies the owner and may restrict accounts tied to unsupported countries.

Will I still get the 2.5% incentive if my LLC pays me?

The incentive is for export earnings received through formal banking channels with proper documents. Whether a payment from your own LLC qualifies depends on your bank’s review, so ask before your first transfer.

Is my freelance income tax-free in Bangladesh?

Income from listed IT-enabled services has been exempt under a schedule due to expire on 30 June 2027. How profits from a US LLC are treated is a separate question for a tax practitioner.

Do I owe US tax on my LLC’s profit?

Usually not if the LLC has no US trade or business, but the yearly Form 5472 + pro forma 1120 is required, with penalties from 25,000$.
