Yes, you can form a US LLC from Nigeria fully online, whether you are in Lagos, Abuja or Port Harcourt, and US states happily accept Nigerian owners. The difficult part is banking. Mercury does not accept residents of Nigeria, Wise will not issue USD details to a US business whose owner lives in Nigeria, and Stripe only reaches Nigeria through Paystack. There is real news in 2026, though: PayPal receiving finally opened to Nigerians through Paga. This guide explains how to register a US company from Nigeria and get paid legally.

Why founders form a US LLC from Nigeria

Nigeria has one of Africa’s most active tech and creator scenes: developers and designers on Upwork and Toptal, startups building for global markets, creators earning from YouTube and brand deals, and e-commerce sellers targeting US buyers. For many, the US LLC is about trust and access. US clients prefer to sign with a US company, US marketplaces and SaaS tools are easier to use with a US entity and EIN, and a company account keeps business income apart from personal savings.

Nigerian founders also face a specific problem: foreign platforms often add extra checks or block Nigerian sign-ups outright because of fraud concerns. A US LLC does not erase that, since providers still check where the owner lives, but it lets you apply to services built for US businesses through their proper process.

Receiving money: getting USD into Nigeria legally

The naira has gone through major reforms since the CBN unified its exchange-rate windows in 2023, and the rate is now far more market-driven than before. For anyone earning in dollars, the key tools are domiciliary accounts and regulated receive apps.

Domiciliary accounts

Every major Nigerian bank offers a domiciliary (dom) account in USD. Under CBN guidelines, money that arrives in a dom account by electronic transfer can be used freely for eligible transactions, while cash lodgements follow stricter rules (cash-funded balances can be sent abroad by telegraphic transfer up to 10,000$ per day). For a freelancer or founder, the clean path is: your LLC pays you by international wire into your dom account, with an invoice or services agreement on file. You can keep the dollars or sell them to your bank at the market rate.

Receive apps and Payoneer

Nigerian fintechs such as Raenest (formerly Geegpay), Grey and Cleva offer virtual USD receiving accounts aimed at freelancers, and Payoneer is widely used for Upwork and marketplace payouts. These are useful for receiving from clients or platforms, but read each provider’s terms on business use and limits, as eligibility differs between personal and business accounts.

PayPal through Paga

For about two decades, Nigerian PayPal accounts could send but not receive. In January 2026 PayPal and Paga announced a partnership: link your PayPal account to a Paga wallet and you can receive payments from abroad, withdraw in naira, hold dollar balances and receive from Venmo users in the US. Check Paga’s current fees and limits before relying on it for business volume.

Cards and outward payments

Several Nigerian banks restricted international spending on naira cards during the 2022–2023 dollar shortage, which is why many founders use dollar cards funded from a dom account to pay for US subscriptions, ads and the LLC’s own costs. Keep the trail clean: pay business costs from business money, and avoid buying dollars from unofficial sources to fund your company.

Which banks and payment tools work for Nigerian residents

Provider Status for a Nigerian resident owner (October 2026)
Mercury Not available. Nigeria is on Mercury’s residence-based prohibited-countries list.
Wise Wise states that a US business cannot get USD account details if the business or owner address is in Nigeria.
Payoneer Available and widely used for marketplace and client payments.
Stripe Nigeria is not a Stripe country. Stripe owns Paystack, which serves Nigerian-registered businesses. A US LLC with a US bank account can apply to Stripe US; the owner is verified and approval is not guaranteed.
PayPal Receiving now possible through the Paga link (since January 2026). A US LLC can also apply for PayPal Business with a US bank account, subject to owner verification.

Because Mercury and Wise USD details are closed, decide your US banking route before you form. See Mercury vs Wise for non-resident LLCs, opening Stripe as a non-resident and PayPal and other gateways. The Builder package includes help with bank applications.

Taxes for a US LLC from Nigeria: at home and in the US

This is general information, not tax advice. The Nigeria Tax Act 2025 took effect on 1 January 2026. Nigerian tax residents are now taxed on worldwide income, so profits from a US LLC belong in your Nigerian return. The Act also widens the definition of a Nigerian company to include foreign-incorporated entities effectively managed or controlled from Nigeria. If you run your US LLC day to day from Lagos, ask a Nigerian tax adviser whether that rule could reach it.

There is no income tax treaty in force between the US and Nigeria (Nigeria does not appear on the IRS treaty list), so there is no treaty rate to reduce US withholding on US-source passive income such as dividends or royalties. For a typical service LLC owned by a non-resident with no US trade or business, US income tax is often zero anyway. Every year it must still file Form 5472 with a pro forma 1120; the penalty starts at 25,000$. Check yours with the penalty checker.

Step by step: register a US LLC from Nigeria

  1. Pick New Mexico or Wyoming and a name.
  2. Prepare documents: a valid Nigerian international passport (your NIN slip or voter’s card is not accepted by most US providers) and proof of address, such as a recent electricity bill from your DisCo or a bank statement. English is Nigeria’s official language, so translation is rarely needed.
  3. File the LLC. State approval usually takes 5–7 business days.
  4. Get the EIN without an SSN. Timing depends on the IRS.
  5. Set up receiving: a US banking option that accepts Nigerian residents, plus Payoneer or a regulated receive app, and a dom account at home.
  6. Every year: Form 5472 + 1120, your Nigerian tax return, and renewal from year 2 (129$/yr in New Mexico, 229$/yr in Wyoming).

The full process is in our non-resident LLC guide.

Mistakes, scams and what not to do

  • Using a relative’s UK or US address or a VPN to open Mercury or Wise. It is misrepresentation; accounts get frozen with funds inside.
  • Renting or buying “verified” US accounts on Telegram or Instagram. You are using someone else’s identity and can lose everything.
  • Agents who promise guaranteed Stripe approval or a “Nigeria-proof” setup. No one controls Stripe’s decision.
  • Funding the LLC with black-market dollars. Keep a clean bank trail for both incoming and outgoing money.
  • Assuming no tax treaty means no filings. Form 5472 is due every year, income or not.

New Mexico or Wyoming for Nigerian founders

New Mexico is the low-cost choice for most freelancers and small companies: no annual report, no yearly state fee, and 129$/yr renewal from year 2. Wyoming costs 229$/yr from year 2 (including its 60$ annual report fee) and suits founders who value its asset-protection reputation. Compare them in New Mexico vs Wyoming.

Start your US LLC from Nigeria

Wyoming starts at 299$. State fee and first-year registered agent are included, with English support on WhatsApp. Start your New Mexico LLC.

Frequently asked questions

Can a Nigerian living in Nigeria open an LLC in the USA?

Yes. US states allow foreign owners and the whole process is online. You need a valid international passport, proof of address and a plan for US banking.

Why does Mercury reject Nigerian founders?

Mercury decides by the owner’s country of residence, and Nigeria is on its prohibited-countries list. A US company address does not change that.

Can Nigerians receive PayPal payments in 2026?

Yes, since January 2026, by linking a PayPal account to a Paga wallet and withdrawing in naira or holding dollars. Check Paga’s fees and limits for business volumes.

Can my US LLC pay me into a Nigerian domiciliary account?

Yes. International wires into a dom account are normal, and electronically received funds can be used freely for eligible transactions. Keep an invoice or services agreement on file.

Is there a tax treaty between the US and Nigeria?

No treaty is in force. Your Nigerian tax is governed by the Nigeria Tax Act 2025, and US filings for your LLC follow the normal rules for foreign-owned LLCs.

Can I use Paystack with a US LLC?

Paystack is for businesses registered in its supported African countries. A US LLC would apply to Stripe US instead, with a US bank account.
