Updated: · General information, not tax or legal advice.
Yes, you can form a US LLC from Morocco fully online, and Moroccan residents can open a Mercury account for it: Morocco is not on Mercury’s prohibited list. What makes Morocco different is the exchange-control framework run by the Office des Changes, the auto-entrepreneur tax rules, and practical limits such as Mercury not mailing physical cards to Morocco. Here is how it works in 2026, from Casablanca to Tangier to Agadir.
Why founders in Morocco form a US LLC
Morocco has a fast-growing community of freelancers, developers, designers, e-commerce sellers and content creators working for clients in Europe and North America. Locally, online card payments run through the CMI (Centre Monétique Interbancaire) and bank gateways, which suit selling in dirhams to Moroccan buyers. For selling in dollars abroad, the gaps are clear:
- No Stripe for Moroccan companies. Morocco is not a Stripe country. A US LLC with an EIN and US bank account can apply for Stripe US for SaaS, digital products and subscriptions.
- Shopify, dropshipping and print-on-demand stores aimed at US buyers need US payment processing and a US entity to run smoothly.
- Freelancers on Upwork, Fiverr and Malt who want to invoice US clients as a company. See our guide for Upwork and Fiverr freelancers.
- Amazon.com sellers, who need a US-ready structure for the US marketplace.
Many Moroccan founders ask how to open an LLC in the USA from Morocco while staying compliant at home. The answer is the same as for any foreign income: the LLC earns abroad, and you bring your share home through Moroccan banks under Office des Changes rules.
Receiving money in Morocco: the Office des Changes framework
The Moroccan dirham (MAD) is not freely convertible, and foreign-currency operations by residents are governed by the Office des Changes. A new General Instruction on Exchange Operations (IGOC 2026) took effect on 1 January 2026. Points that matter for an LLC owner:
- Bringing income home. Moroccan rules generally expect residents to repatriate foreign earnings through the banking system. A USD wire from your LLC’s US account to your own account at a Moroccan bank (Attijariwafa, CIH, Bank of Africa, BMCI, Banque Populaire and others) is the clean path. It is normally credited in dirhams at the bank rate.
- Foreign-currency accounts. The Office des Changes allows banks to open foreign-currency or convertible-dirham accounts for service exporters registered in the commercial register, so a registered business can keep part of its export income in currency. A plain individual or auto-entrepreneur usually receives in dirhams; ask your bank what applies to your status.
- Paying abroad. Under IGOC 2026, the personal e-commerce allowance for residents was reported raised to 20,000 MAD per year (from 15,000), used through an international payment card. That cap is why many founders pay US software, ads and suppliers with the LLC’s own US virtual card rather than a Moroccan card.
- Mercury cards. Mercury lists Morocco among countries where it cannot mail physical cards. Virtual cards work, which covers most online spending.
- Payoneer works in Morocco for marketplace payouts, with withdrawals to Moroccan banks in dirhams.
PayPal in Morocco
For years Moroccans could pay with PayPal but struggled to withdraw. That changed: PayPal’s Morocco user agreement describes withdrawals to a Moroccan bank account through PayPal’s bank partner, and requires funds you receive to be withdrawn to your Moroccan account within 30 days. In September 2025, CashPlus (licensed by Bank Al-Maghrib) launched instant PayPal withdrawals in dirhams through its app. For the LLC itself, open a separate US PayPal business account in the company’s name. Read our PayPal and payment gateways guide.

Taxes in Morocco and in the US (short, hedged, not tax advice)
In Morocco: individuals with their tax home in Morocco are generally taxed on their worldwide income, so profits from a US LLC you run from Morocco are likely taxable there. Many freelancers use the auto-entrepreneur status, which taxes turnover at 1% for services (up to 200,000 MAD a year) and 0.5% for commercial activity (up to 500,000 MAD). Since the 2023 Finance Law, service income above 80,000 MAD a year from the same client is subject to a 30% withholding on the excess, and parliament has debated raising that threshold. How invoices between you and your own LLC are treated, and whether auto-entrepreneur, a SARL or another status fits, is a question for a Moroccan accountant.
In the US: the US and Morocco have an income tax treaty, signed in 1977. It mainly affects US withholding on passive income. A single-member LLC owned by a Moroccan resident with no US trade or business usually owes no US federal income tax, but it must file Form 5472 with a pro forma 1120 every year, even with zero income; the penalty starts at 25,000$. Our Form 5472 guide explains the filing.
Step by step: how to form a US LLC from Morocco
- Choose a state and package. New Mexico: Starter 249$, Builder 349$, Diamond 499$. Wyoming: Starter 299$, Builder 399$, Diamond 499$. State fee and first-year registered agent included.
- Documents. A valid passport (US providers rarely accept the CIN alone). For proof of address, a utility bill from your distributor (Lydec, Redal, Amendis or ONEE) or a bank statement; documents in French or Arabic may need an English translation.
- State filing. Approval usually takes 5–7 business days.
- EIN. No SSN required (see EIN without SSN). Timing depends on the IRS. Builder and Diamond include it, with bank-application help.
- Bank and payments. Apply to Mercury with your Moroccan address, use virtual cards, then connect Stripe US, PayPal or Shopify. Diamond adds Stripe setup done with you, an Operating Agreement and a US phone number.
- Every year. File Form 5472 + 1120 (99$ per tax year; first year included in Diamond) and renew at 129$/yr in New Mexico or 229$/yr in Wyoming.
Mistakes and scams Moroccan founders should avoid
- Leaving profits abroad indefinitely without checking your repatriation and tax duties under Moroccan rules.
- Paying a stranger to “receive” your PayPal or Stripe money, or renting an account in someone else’s name. Balances get frozen and you have no claim.
- Declaring a US mail address as your home on bank applications. Providers ask where you actually live.
- Trusting templated advice. Some guides mention a “Morocco Secretary of State”; there is no such office for US LLCs. Your LLC is filed with the New Mexico or Wyoming Secretary of State.
- Forgetting Form 5472 in a year without US income.
- Expecting a physical Mercury card in the mail. Plan around virtual cards.
New Mexico or Wyoming for founders in Morocco?
New Mexico is the practical choice for most Moroccan freelancers and e-commerce sellers: no annual report, no yearly state fee and a 129$/yr renewal. Wyoming suits founders who prefer its reputation and accept the 60$ yearly report fee (included in our 229$/yr renewal). Banking and Stripe work the same for both. Compare them in New Mexico vs Wyoming, and see our neighbouring page on a US LLC from Algeria.

Frequently asked questions
Can Moroccan residents open a Mercury account for a US LLC?
Yes. Morocco is not on Mercury’s prohibited list, though every application is reviewed. Mercury does not mail physical cards to Morocco, so you use virtual cards.
Can I receive PayPal payments in Morocco?
Moroccan PayPal accounts can now withdraw through PayPal’s bank partner, and since September 2025 through the CashPlus app in dirhams. Your US LLC should have its own US business PayPal account.
Do Office des Changes rules allow me to own a US LLC?
Owning a foreign company and investing abroad are regulated by the Office des Changes, and rules were updated in IGOC 2026. Check with your bank or a Moroccan adviser how to declare the LLC and bring its profits home.
Does the auto-entrepreneur 80,000 MAD rule affect me?
It can. Service income above 80,000 MAD a year from a single client faces a 30% withholding on the excess. Ask an accountant how payments from your own US LLC would be treated before choosing your status.
Is there a US–Morocco tax treaty?
Yes, signed in 1977. It mainly affects withholding on US passive income. A service LLC owned by a Moroccan resident with no US activity usually owes no US income tax but files Form 5472 every year.
Can I use CMI to accept payments for my US LLC?
CMI serves Moroccan merchants selling in dirhams. A US LLC normally uses US processors such as Stripe US or PayPal business for international customers.
