Updated: · General information, not tax or legal advice.
Yes, you can form a US LLC from Pakistan without travelling: the state filing, the EIN and the registered agent are all handled online, and Pakistani residents can legally own a New Mexico or Wyoming LLC. The company is the easy part. The money is not: Mercury does not accept residents of Pakistan, Wise will not give USD account details to a US business whose owner lives in Pakistan, and PayPal and Stripe do not operate locally. This guide shows how to open an LLC in USA from Pakistan in 2026 and get paid in a way your bank, the SBP and the FBR all recognise.
Why founders form a US LLC from Pakistan
Most people asking about a US LLC for Pakistani residents fall into a few groups: freelancers and small agencies selling on Upwork, Fiverr and direct contracts; software houses and SaaS builders who need a US entity for US clients and US payment processors; Amazon and Shopify sellers targeting American buyers; and app developers who want a company name on Google Play and the App Store instead of a personal one.
The reasons are practical. US clients are more comfortable signing with a US company and paying a US account by ACH. A US entity can apply to US payment processors that will never open for a Pakistani individual. And a separate company keeps business money apart from your personal account, which matters when your bank asks where funds come from.
What a US LLC does not do: it does not move your tax residence out of Pakistan, it does not make Mercury or PayPal available to you personally, and it does not replace the SBP rules for bringing money home. Banks look at where the owner lives, not only where the company is registered.
Receiving money: getting USD into Pakistan legally
This is the part that decides whether your US LLC from Pakistan actually works. Pakistan’s foreign-exchange system is run by the State Bank of Pakistan under the Foreign Exchange Regulation Act 1947 and the SBP Foreign Exchange Manual. The good news is that export earnings from IT and freelance work have their own, fairly friendly, framework.
Freelancer accounts and the 50% retention rule
Since SBP’s October 2023 package, freelancers can open bank accounts digitally or in a branch with minimal documents, and an Exporters’ Special Foreign Currency Account (ESFCA) is opened alongside the normal PKR account. A freelancer may keep the higher of 50% of export proceeds or 5,000$ per month in dollars in that ESFCA; the rest is converted to rupees. IT exporting companies may also retain 50% of their export proceeds. Dollars kept in the ESFCA can be used for permitted payments abroad (software subscriptions, tools, your own US company costs) without separate SBP approval. Check the current circular with your bank, since SBP updates these limits.
Tax deducted at source and PSEB registration
When foreign money for IT or IT-enabled services lands in your account through a bank, tax is withheld at source under section 154A of the Income Tax Ordinance 2001. Exporters registered with the Pakistan Software Export Board (PSEB) qualify for the reduced 0.25% final tax rate; unregistered recipients generally face around 1%. That regime was due to expire on 30 June 2026, and the 2026–27 budget is reported to have extended it, but confirm the enacted Finance Act or ask your bank’s tax desk before relying on the rate. PSEB registration is done online and is one of the cheapest ways to cut tax on your foreign income.
How money moves from your LLC to you
The usual path is: your client pays the LLC’s US account; the LLC pays you, its owner, by international transfer or through Payoneer; and the money lands in your Pakistani ESFCA or PKR account with a purpose code for IT or freelance services. Keep your client contracts, your LLC’s invoices and a simple record of each distribution. When the payer is your own company, banks may ask more questions about whether the inflow counts as export proceeds, so speak to your branch before the first transfer.
Payoneer and local withdrawals
Payoneer is the main rail for Pakistani freelancers. Upwork and Fiverr both pay into Payoneer, and Payoneer has integrations with HBL and Meezan Bank so customers can withdraw to PKR in real time. Withdrawal fees and daily limits change, so check them in your dashboard.
Sending money out to your LLC
Equity investment abroad by Pakistani residents is covered by Chapter 20 of the SBP Foreign Exchange Manual, which sets conditions and reporting (for example a return on form V-100 after the investment). Most single-member LLCs need little or no paid-in capital, and the formation fee is a service payment, but if you plan to fund the LLC with significant capital from Pakistan, ask your authorised bank how Chapter 20 applies first. Never use hundi or hawala: it is illegal, and money that arrives that way does not count as export proceeds for tax purposes.
Which banks and payment tools work for residents of Pakistan
| Provider | Status for a Pakistani resident owner (October 2026) |
|---|---|
| Mercury | Not available. Pakistan is on Mercury’s residence-based prohibited-countries list, so a US LLC does not help. |
| Wise | Wise states that a US business cannot get USD account details if the business or owner address is in Pakistan. Pakistan is also on its general list of addresses without USD details. |
| Payoneer | Available and widely used. Receiving accounts for marketplace and client payments, PKR withdrawals through local partner banks. |
| Stripe | Pakistan is not a Stripe country. A US LLC with a US bank account can apply to Stripe US, but Stripe verifies the owner and approval is never guaranteed. |
| PayPal | Not available in Pakistan. Government talks with global gateways have been reported for years without a launch. |
Because the two most popular US options are closed to Pakistani residents, choose your US banking route before you choose your payment processor. Our Mercury vs Wise guide explains the alternatives, and the Builder package includes help with bank applications. For processors, see opening Stripe as a non-resident.
Taxes for a US LLC from Pakistan: at home and in the US
This is general information, not tax advice. Pakistan taxes its residents (generally anyone in the country 183 days or more in a tax year) on worldwide income, so profits you take from a US LLC are reportable in your FBR return. The IT export final tax regime described above reduces the burden on qualifying income, and being on the FBR Active Taxpayer List lowers many withholding rates.
On the US side, a single-member LLC owned by a non-resident is usually a disregarded entity. If the business has no US trade or business (no US office, staff or dependent agent), it often owes no US income tax. It must still file Form 5472 with a pro forma 1120 every year, even with zero income; the penalty for missing it starts at 25,000$. Check your exposure with our penalty checker.
The US and Pakistan have an income tax convention dating from 1957. It is old and mainly matters for questions such as permanent establishment; ask a Pakistani tax adviser how it applies to your case.
Step by step: open an LLC in USA from Pakistan
- Pick the state and name. New Mexico for the lowest running cost, Wyoming if you want a state with a longer track record of asset protection.
- Prepare documents. A valid passport (the CNIC alone is rarely accepted by US providers) and proof of address such as a K-Electric, LESCO or SNGPL bill, or a bank statement. These are normally in English; anything in Urdu needs a certified English translation.
- File the company. State approval usually takes 5–7 business days.
- Get the EIN. No SSN is needed. Timing depends on the IRS.
- Set up banking and payments with providers that accept Pakistani residents.
- Prepare the local side: a freelancer ESFCA with your bank, PSEB registration, and FBR filer status.
- Stay compliant every year: Form 5472 + 1120, and renewal from year 2 (129$/yr in New Mexico, 229$/yr in Wyoming).

Mistakes, scams and what not to do
- Using a relative’s address abroad or a VPN to open Mercury or Wise. That is misrepresentation; accounts get frozen with your money inside.
- Buying “verified PayPal” or “ready Stripe” accounts sold in Facebook and WhatsApp groups. They are someone else’s identity and get closed.
- Routing money through hundi or hawala instead of your bank. You lose the 0.25% regime and risk legal trouble.
- Agents who promise guaranteed bank or Stripe approval. No formation service controls that.
- Forgetting Form 5472 because the LLC earned nothing.
New Mexico or Wyoming for Pakistani founders
For most freelancers and small agencies, New Mexico is the practical choice: no annual report and no yearly state fee, with renewal at 129$/yr from year 2. Wyoming costs 229$/yr from year 2 (including the 60$ annual report fee) and suits founders who want its well-known asset-protection law. Compare them in New Mexico vs Wyoming. Wyoming starts at 299$. State fee and first-year registered agent are included, and support is available in English on WhatsApp. Start your New Mexico LLC, or see the full cost breakdown.
Frequently asked questions
Can a Pakistani resident legally own a US LLC?
Yes. US states allow foreign owners, and owning a US company is not prohibited for Pakistanis. You still need to follow SBP rules on money moving in and out and report the income to the FBR.
Why can’t I open Mercury for my LLC if I live in Pakistan?
Mercury decides by where the owner lives, and Pakistan is on its prohibited-countries list. A US company address does not change that, and using a false address can get the account closed.
Does the 0.25% tax apply to money my LLC sends me?
The reduced rate applies to IT and IT-enabled export proceeds received through banks by PSEB-registered exporters. Whether a payment from your own LLC qualifies depends on documentation and your bank’s view, so ask before your first transfer and keep invoices.
How much foreign currency can I keep as a freelancer?
Under SBP’s freelancer framework you can keep the higher of 50% of export proceeds or 5,000$ per month in your ESFCA, with the rest converted to rupees. Confirm current limits with your bank.
Is PayPal available for Pakistani freelancers in 2026?
No. PayPal still does not serve Pakistan. A US LLC with a US bank account can apply for PayPal Business, but PayPal verifies the owner and may restrict accounts tied to unsupported countries.
Do I pay US tax on my LLC’s income?
Often not, if the LLC has no US trade or business. But the yearly Form 5472 + pro forma 1120 is mandatory, and penalties start at 25,000$.
